Job Purpose
To manage legal risk through provision of advanced legal services including, but not limited to, legal opinions on all issues affecting the Bank, and ensuring that the Bank complies with all statutory and legal requirements, To become the Bank's in-house Legal Advisor
To manage the Bank's entire loan portfolio. especially nonperformlng loans (NPLs) ensuring the bank utilizes the best cost effective techniques that are available and appropriate to each defaulting borrower. This ensures that at all times the Bank has appropriate and effective Debt recovery processes and procedures which include the use of efficient lawvers. debt collectors. court brokers and search and identification firms

Kev Responsibilities
Determine the need for litigation and where this Is required handle directly or through external legal counsel ensuring that the banks interest are not
prejudiced or compromised in any way, Where legal legal action is not recommended initiate out of court settlement to achieve cost savings
Ensure appropriate action Is taken on non-performing accounts once Executive Committee and/or the Board takes a decision and ensure that the banks assets are secure
Review. advise and make recommendations on Loan Documents,Leases. Agreements and Contracts and ensure that the Banks interests are protected prior to execution
Monitor and ensure that all legal requirements with regard to change in Capital Structure, annual returns and Dividend payment are adhered and the bank incurs no penalties
Management of the entire delinquent/non-performing portfolio in the Bank's leading book, made up of individual customers/Personal loans, Home Finance, Corporate loans and services related product
Undertaking recovery processes.including debt repayment arrangement negotiations or the use of alternative recovery techniques namely, legal demand letters, filling cases in the court of law, recieverships, repossession and sale of borrowers properties, sales of properties via public auction and application for civil jail of defaulting customers
Representing the Bank in court sessions involving recovery suits. court attachment orders and public auctions making sure that the bank interests are protected
Liaising with external parties such as executives or representatives of defaulting borrowers, legal firms, court brokers, debt collectors bureaux/agents firms specializing in search and identification of clients properties and the courts. in the process of recovery of non performing loans
Develop and maintain a database Of "Black - listed Loans" and nominate their names to Credit Information Bureau CIB which has been pioneered by Tanzania Bankers Association
Record and maintain updated register for Commercial Bank of Africa (Tanzania) Ltd ensuring that these can stand to scrutiny by the Bank of Tanzania and the External Auditors,
Perform all required Company Secretarial functions for the Bank's management committee and Boards Audit Committee in order to ensure correct and up to date record are maintained and appropriate follow upmis undertaken on all actionable issues
Qualifications and Competency Required
University Degree in law
Relevant professional qualification in company secretarial services in banking or financial institution
Minimum 7 years banking experience, three years experience in management or leadership
Experience in financial services industry would be an added advantage
Practical experience in use of MS Office Applications
Technical skills to effectively perform or guide performance of legal services in am manner that consistently produce high quality service
Knowledge and experience in modem legal service practices in financial services industry to provide visionary guidance on strategic changes
Interpersonal skills to effectively communicate with and manage customer expectations (internal and external) and other stakeholders who impact performance
